Terms of Service Agreement 1. Introduction Welcome to our Social Media Management Service: ContentCollab Essentials and Pro. By engaging with our services detailed on our website, you accept these Terms of Service ("Terms"). You acknowledge that you have read, understood, and agree to be bound by these Terms, which form a legally binding contract with Ellen Bathgate. 2. Service Provision 2.1. Delivery and Collaboration: We provide high-quality social media management designed to meet your needs through a dedicated account manager. Effective collaboration requires your prompt and precise feedback for content approval. 2.2. Platform Issues: We facilitate content on various social media platforms but are not liable for platform-related issues. Technical difficulties beyond our control will be directed to the relevant platform's support. 2.3. Content Scheduling: We will schedule content post-connection to our scheduling tool. In case of connectivity issues, content is still provided for manual posting. 2.4. Support Channels: Our support is available via our online dashboard, or email. 2.5. Client Responsiveness: Timely cooperation from your side is essential for service continuity. If you fail to provide feedback, content or resources, we will not be able to schedule that content, and no credits will be provided. 2.6. Communication: Respectful communication is vital for a successful partnership. Unprofessional conduct may lead to service termination. 3. Payment and Fees 3.1. Payment Terms: Payment for services is due in advance. By providing a payment method, you authorise recurring charges for continued service. 3.2. Cancellation Policy: Cancellations require written notice at least seven days before the billing cycle ends. 3.3. Refund Policy: If you are dissatisfied with our services, you are eligible for a refund of your first monthly payment, provided you request this refund at least 7 days before your second payment is due. 3.4. Non-Refundable Policy: Outside of the first month’s payment, our services are non-refundable, acknowledging the commitment of resources and effort provided. 4. Client Obligations and Rights 4.1. Engagement Termination: You may discontinue services according to the initial agreed terms. 4.2. Content Ownership: You retain rights to the content created, subject to settlement of dues. 4.3. Data Security: We commit to handling your data in compliance with Australian data protection and privacy laws. 4.4 Platform Management: You agree to use a third party content management scheduling tool, as recommended by our team. You agree to ensure that your social media platforms remain connected to that tool, and reconnect it as required (some scheduling tools require regular reconnection), and ensure that your social media platforms remain active and functional. 5. Our Obligations to you 5.1. Service Standards: We maintain the right to determine eligibility for our services and to change service terms and offerings. 5.2. Warranty Limitation: We make no warranty regarding the outcomes of our services and disclaim all implied warranties to the maximum extent permitted by law. 6. Your Timeline To ensure we can deliver your content on time and scheduled in advance, you agree to adhere to this timeline: 6.1. Any additional content (beyond any content agreed upon during your planning meeting) is to be provided to us via our online dashboard by the 3rd day of the month prior to the month it is to be published (or the Friday before if the 3rd day falls on a weekend). 6.2. We will provide you with your first draft of your content by the 15th day of the month prior to the month it is to be published (or the Monday after if the 15th day falls on a weekend). 6.3. You will check and provide edits or approvals by the 17th day of the month prior to the month it is to be published (or the Friday before if the 17th day falls on a weekend). Only one round of edits is included in your subscription. 6.4. We will submit your final draft of your content by the 20th day of the month prior to the month it is to be published (or the Monday after if the 20th day falls on a weekend). 6.5. You will check and provide final approvals by the 22nd day of the month prior to the month it is to be published (or the Friday before if the 22nd day falls on a weekend. 6.6. We will schedule your posts in the scheduling software by 28th of the month prior to the month it is to be published. 6.7. You will approve all scheduled posts in the scheduling software prior to the final day of the month prior to the month it is to be published, ensuring the posts go live on your social media accounts. 6.8 If you fail to complete any of these steps your posts may not go live as planned on your accounts. 6.9 All content is planned, prepared and scheduled the month prior to publishing. This means, if you want additional content published "in the moment" you will need to do this yourself OR upgrade to another ContentCollab subscription. 7. Legal Provisions 7.1. Indemnification: You agree to indemnify us from any claims arising from your use of our services. 7.2. Limitation of Liability: Our liability is limited to the amount paid for services in the preceding month. 7.3. Law and Jurisdiction: These Terms are governed by the laws of Australia, with courts in New South Wales, Australia having exclusive authority. 8. Miscellaneous 8.1. Amendments: These Terms may be updated, with changes communicated to you via email. 8.2. Dispute Resolution: We prefer negotiation to litigation for resolving disputes. 8.3. Acceptance of Terms By using our services, you acknowledge and agree to these Terms, affirming that you are of legal age and capacity to enter into a contract in your jurisdiction.
